Overview

These Terms of Service (the “Terms”) govern your access to and use of the Earth Home Products website made available to consumers in the United States (the “Site”). The Site is operated by Earth Corporation (“Earth”, “we”, “us”, or “our”), a corporation organized under the laws of Japan, with its head office at: Earth Corporation, 12-1, Kanda-Tsukasamachi 2 chome, Chiyoda-ku, Tokyo 101-0048, Japan, +81 (0)3-5207-7451 (main reception).

The Site is intended to provide general information about Earth Home Products branded household products offered in the United States. The Site does not accept orders for products and does not offer or support the creation of customer accounts.

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, please do not use the Site.

Section 1 – Eligibility and Use of the Site

The Site is intended for individual consumers who are residents of the United States and its territories and who are at least the age of majority in their state or territory of residence. By using the Site, you represent that you meet these requirements.

You may use the Site only for lawful purposes and in accordance with these Terms. You are responsible for any information you choose to submit through the Site (for example, via contact forms or inquiry emails), and you represent that such information is accurate and does not infringe the rights of any third party.

The Site does not offer user registration or customer accounts. You should not attempt to create an account, submit passwords, or provide other credentials for account features that do not exist on the Site.

Section 2 – System Requirements

To use the Site, you may need a compatible device and web browser and an internet connection. Although other environments may also work, we recommend using a reasonably current version of a common browser (for example, Google Chrome, Microsoft Edge, Safari) on an up-to-date operating system.

Even when using a recommended browser, depending on your device, some pages or functions of the Site may not display or operate correctly.

Section 3 – Content and Intellectual Property

Unless otherwise stated, Earth or its licensors own all rights, title, and interest in and to the content displayed on the Site, including text, graphics, images, photographs, audio, video, logos, icons, product information, and their arrangement (collectively, “Content”).

You may view the Content for your personal, non-commercial household use. Except as expressly permitted by applicable law, you may not use the Content (including reproduction, distribution, alteration, public transmission, re-use, or forwarding) in any way or for any purpose without our prior written consent or the consent of the relevant rights holder.

Unauthorized use of the Content may violate copyright, trademark, privacy, portrait, or other rights. You are responsible for complying with all applicable intellectual property laws.

Section 4 – Trademarks

The trademarks, logos, and service marks appearing on the Site, including Earth, Earth Home Products, and related marks (collectively, “Trademarks”), are used by Earth or its affiliates under applicable law. Nothing on the Site grants any license or right to use the Trademarks without our prior written permission or the permission of the rights owner.

Use of the Trademarks or other content displayed on the Site without such permission is prohibited.

Section 5 – Informational Purposes Only; No Online Sales

The Site is provided for general informational purposes only. It may describe or depict products and packaging that are available, or may become available, in the United States. However:

• The Site does not accept or process orders.
• The Site does not offer checkout, shopping cart, or payment functions.
• The Site does not allow the creation of user accounts.

Nothing on the Site constitutes an offer to sell products directly to you. Any purchase of Earth Home Products branded items must be made through independent retailers, e-commerce platforms, or other third parties, subject to their own terms and conditions.

Always read product labels and follow all directions and warnings on the packaging before use. In the event of any inconsistency between information on the Site and information on the product label, the label controls.

Section 6 – Third-Party Retailers, Links, and Tools

The Site may include links to websites, online stores, or services operated by third parties (including retailers, marketplaces, content providers, and social media platforms). These sites and services are not controlled by Earth.

If you access third-party sites or services, you do so at your own risk. We are not responsible or liable for:

• The content, accuracy, or practices of third-party sites or services;
• Any products or services you purchase from third parties; or
• Any damages or losses arising from your dealings with third parties.

If you choose to purchase our products from a retailer or marketplace, your purchase will be subject solely to the terms, conditions, and policies of that retailer or marketplace.

The Site may also provide access to tools, plug-ins, or functionality offered by third parties. Such tools are provided “as is” and “as available,” without any warranty. Your use of such tools is at your own risk and may be subject to the third party’s terms.

Section 7 – Relationship with Shopify

The Site may be hosted or technically supported by Shopify or other service providers. Hosting providers enable us to operate and display the Site, but do not own or control the Content.

Any interactions you have through the Site are between you and Earth (and not Shopify). You acknowledge that Shopify is not responsible for the Content on the Site or for your use of the Site. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising out of or relating to your use of the Site.

Section 8 – Privacy and Cookies

Your use of the Site may involve the collection and processing of certain personal information. Our practices are described in our Privacy Policy, which forms part of these Terms. By using the Site, you acknowledge that you have read our Privacy Policy.

Because the Site may be hosted or supported by Shopify and other service providers, certain information about your use of the Site may be collected and processed by those providers to operate, improve, and secure the Site. Such providers may be located outside the country where you reside.

The Site may use cookies and similar technologies (such as pixels, tags, and local storage) to:

• Recognize your browser or device;
• Remember your preferences;
• Measure traffic and usage patterns; and
• Help deliver relevant content or advertisements.

• Earth and its affiliates may use, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise exploit the Feedback worldwide, in any media, for any lawful purpose, without obligation or compensation to you.

You represent and warrant that you own or otherwise control all rights in the Feedback you submit, and that our use of such Feedback will not infringe the rights of any third party or violate any law.

We may, but are not obligated to, review or remove any Feedback that we determine, in our sole discretion, to be unlawful, offensive, or otherwise inappropriate.

Section 10 – Accuracy of Information; Changes to the Site

We work to keep the information on the Site accurate and up to date, including product descriptions and other materials. However, we do not guarantee that the Content is error-free, complete, or current.

The Site and any Content may be changed, updated, or removed at any time without prior notice. We have no obligation to update any information on the Site.

Section 11 – Prohibited Uses

You may not use the Site:

• For any unlawful, fraudulent, or malicious purpose;
• To violate any applicable law, regulation, or ordinance;
• To infringe or violate our intellectual property rights or the rights of any third party;
• To transmit or submit any defamatory, obscene, offensive, or otherwise objectionable material;
• To transmit any advertising or promotional material (including “junk mail,” “chain letters,” or “spam”);
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the server on which the Site is stored, or any network or system connected to the Site;
• To introduce any viruses, worms, malware, or other harmful code; or
• To collect or attempt to collect personal information of other users in violation of any law or regulation.

We may restrict, suspend, or terminate your access to the Site if we believe you have violated these Terms or engaged in any prohibited use.

Section 12 – Disclaimer of Warranties

Your use of the Site and the Content is at your own risk.

The Site and all Content are provided “as is” and “as available,” without any representations or warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

• The Site will be uninterrupted, timely, secure, or error-free;
• Any defects will be corrected; or
• The Site or the server(s) that make it available are free of viruses or other harmful components.

Information on the Site, including any forward-looking or forecast statements, is provided for general information purposes only and should not be relied upon as professional, medical, regulatory, legal, investment, or other advice. Actual results or product performance may differ from any forecasts or examples described.

Nothing on the Site is intended as, or should be construed as, an offer or solicitation to buy or sell securities of Earth or any other company, or as investment advice.

Because some jurisdictions do not allow limitations on implied warranties, the above limitations may not apply to you in full.

Section 13 – Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Earth, its affiliates, directors, officers, employees, agents, contractors, service providers, or licensors, or any of their respective successors or assigns, be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with:

• Your access to or use of, or inability to access or use, the Site;
• Any errors or omissions in the Content; or
• Any loss or damage caused by malware, viruses, or other technologically harmful material that may infect your device, programs, or data due to your use of the Site or any site linked to it,

even if we have been advised of the possibility of such damages.

If, notwithstanding the foregoing, we are found to have liability to you, our total aggregate liability for all claims arising out of or relating to the Site or these Terms shall be limited to an amount equal to one hundred U.S. dollars (US$100).

Because some jurisdictions do not allow limitations or exclusions of certain damages, all or part of the above limitation may not apply to you.

Section 14 – Indemnification

You agree to indemnify, defend, and hold harmless Earth, its affiliates, and their respective directors, officers, employees, agents, contractors, and service providers, from and against any and all losses, damages, liabilities, claims, demands, actions, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your violation of these Terms;
• Your violation of any law or the rights of any third party; or
• Your use of the Site.

We may, at our own expense, assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in the defense of such matter.

Section 15 – Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Section 16 – Waiver; Entire Agreement

Any failure by us to enforce any provision of these Terms shall not be deemed a waiver of such provision or of our right to enforce it later.

These Terms, together with our Privacy Policy and any other notices or policies referenced on the Site, constitute the entire agreement between you and us regarding your use of the Site and supersede all prior or contemporaneous understandings, agreements, communications, or representations, whether written or oral.

Section 17 – Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment without such consent is void.

We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law, without notice to you.

Section 18 – Governing Law and Jurisdiction

The interpretation and application of these Terms and your use of the Site shall be governed by and construed in accordance with the laws of Japan, without giving effect to any conflict-of-law principles.

All disputes arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the Tokyo District Court in Tokyo, Japan, as the court of first instance. You consent to the personal jurisdiction of such court and waive any objection based on inconvenient forum or lack of jurisdiction, to the extent such waiver is permitted by applicable law.

If mandatory laws in your place of residence provide you with additional rights, nothing in this section is intended to limit those mandatory rights.

Section 19 – Changes to These Terms

We may update or modify these Terms from time to time. The “Last Updated” date at the top of this page indicates when these Terms were last revised. Any changes take effect when we post the updated Terms on the Site, unless a later effective date is stated.

Your continued use of the Site after the updated Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Site.
